STATEMENT OF PURPOSE	غرض العقد
WHEREAS Exporter is the exclusive international distributor for TCD Company (TCD), a manufacturer of vitamins,  minerals,   amino acid supplements,  digestive aids, yeast products, fish and marine oils, special formulas, sports nutrition and other dietary  food  and  nutritional supplements in the form of capsules, tablets, powders, wafers, liquids and food  products (such as crackers, cookies, candies, cereals), all of which are collectively referred to as the "Goods", sold under various names and trademarks (collectively referred to as to "Trademarks"), excluding any trademarks licensed from others until consent to use the licensed trademark is obtained  (the "licensed trademarks"); and	حيث أن "المُصدِّر" هو الموزع الدولي الوحيد لشركة "تي.سي. د." المتخصصة في إنتاج الفيتامينات، والمعادن، والأحماض الأمينية التكميلية، والمواد المساعدة للهضم، ومنتجات الخمائر، والزيوت السمكية والبحرية، وتركيبات خاصة، والأغذية الرياضية وغيرها من الأطعمة المبنية على القواعد الغذائية، والمواد التكميلية الغذائية في شكل كبسولات وأقراص، ومساحيق، وأقراص، وسوائل ومنتجات غذائية (مثل المقرمشات والكعك والحلويات والأغذية الجاهزة المصنوعة من الحبوب) ويشار إليها جميعها باسم "البضاعة"، وتباع تحت مختلف الأسماء والعلامات التجارية (ويُشار إلى هذه الأسماء فيما بعد باسم "العلامات التجارية") وذلك باستثناء أية علامات تجارية مُرخَّص بها من الغير إلى أن يتم الحصول على موافقة لاستخدام العلامة التجارية المُرخَّص بها ("العلامات التجارية المرخص بها")؛
WHEREAS Distributor desires to sell, market and distribute Goods supplied by Exporter and Exporter desires to so provide Distributor with the Goods, all on an exclusive basis in the Territory hereinafter referred to,	وحيث أن الموزع يرغب في بيع وتسويق وتوزيع المنتجات التي يوردها "المُصدِّر"، ويرغب "المُصدِّر" في تزويد الموزع بالبضاعة على أساس قصري في الإقليم المشار إليه فيما بعد،
NOW. THEREFORE, the parties mutually agree as follows:	لــذا، فقد اتفق الطرفان فيما بينهما على ما يلي:
1. Exporter hereby appoints Distributor as its exclusive Distributor for the Goods in the Territory consisting of the country of Egypt "Territory". The term "Goods" shall include all Goods distributed by Exporter from time to time, but shall exclude all Goods sold under licensed trademarks. Exporter shall furnish to Distributor a listing of Goods available for sale from time to time in the same manner that TCD furnishes such information to its US distributors.	1- يُعيِّن "المُصِّدر" بموجب هذا العقد الموزع موزعا وحيدا للبضاعة في الإقليم الذي يتكون من دولة مصر "الإقليم". ويشمل لفظ "البضاعة" كل البضاعة التي يوزعها "المُصِّدر" من حيث لآخر باستثناء كل البضاعة التي تباع تحت اسم العلامات التجارية المرخص بها. ويقدم "المُصِّدر" إلى الموزع قائمة بالبضاعة المتاحة للبيع من وقت لآخر بنفس الطريقة التي تقدم بها شركة "تي. سي. د" هذه المعلومات إلى موزعيها في الولايات المتحدة.
2. Exporter represents and warrants to the Distributor that it is the exclusive International Distributor for all TCD Goods and has the full right, title, and power to appointing the Distributor as an exclusive Distributor for the Goods in the Territory. Exporter hereby agrees to  indemnify and hold the Distributor harmless from and against any and all claims of any nature whatsoever by reason of any breach of such warranty and representation.  TCD has also executed a copy of this Agreement to confirm that Exporter is its exclusive International Distributor for all its Goods. The term International " means the sale of TCD Goods outside the USA.	2- يقر "المُصِّدر" ويضمن للموزع أنه هو الموزع الدولي الوحيد لكل بضاعة شركة "تي. سي. د."، وأن له كل الحق والصلاحية والسلطة لتعيين الموزع موزعا وحيدا للبضاعة في الإقليم، ويوافق "المُصِّدر" على تعويض وتبرئة ذمة الموزع من وفي مواجهة أي مطالبات من أي نوع أيًّا كانت تنتج عن الإخلال بهذا الضمان وهذا الإقرار. وقد حررت "تي.سي.د." أيضًا صورة من هذا العقد لتؤكد أن "المُصِّدر" هو الموزع الدولي الوحيد لكل بضاعته. ويعني لفظ "الدولي" بيع بضاعة "تي.سي.د." خارج الولايات المتحدة الأمريكية.
3. (a) the term of this appointment shall be for an initial term of three (3) years commencing the date this agreement is executed by Exporter. provided Distributor meets the minimum sales quotas set forth herein, the Distributor shall have the right to renew this Agreement for an additional period of two (2) years, said renewal option to be exercised by written notice to Exporter not later than three (3) months prior to the expiration of the initial three (3) year term of this Agreement.	3- أ. مدة هذا التعيين هي فترة أولية مدتها ثلاث (3) سنوات تبدأ من تاريخ تحرير "المُصِّدر" لهذا العقد بشرط أن يحقق الموزع الحد الأدنى من حصص المبيعات الموضحة في هذا العقد. ويحق للموزع تجديد هذا العقد لفترة إضافية مدتها عامين (2) على أن يكون هذا التجديد خيارًا يُمارَس بموجب إعطاء إخطار كتابي إلى "المُصِّدر" في موعد غايته ثلاثة (3) شهور قبل انتهاء المدة الأولية لهذا العقد وهي ثلاث (3) سنوات.
Notwithstanding anything to the contrary herein, either party shall have the right at any time during the term of this Agreement, on three   (3) months prior written notice to the party, to terminate this Agreement and the exclusive rights granted pursuant hereto, effective as at the end of such three (3) month period.	وبغض النظر عن أي شيء يخالف ذلك، يحق لأي طرف، في أي وقت خلال مدة هذا العقد بموجب إعطاء إخطار كتابي مسبق مدته ثلاث (3) شهور إلى الآخر إنهاء هذا العقد والحقوق القصرية الممنوحة بموجبه اعتبارا من نهاية فترة الشهور الثلاثة هذه.
(b) During the term of this Agreement the Distributor shall actively solicit business and promote the sale of the Goods to customers in the Territory and provide the necessary personnel and facilities to accomplish this purpose. Distributor represents that it will promote the sale of Goods to all applicable retail outlets, Gyms, Health Clubs, Health and Nutrition Stores. pharmacies, institutions, etc., on terms and conditions that are favorable and fair	ب. أثناء فترة سريان هذا العقد، يسعى الموزع بنشاط للحصول على صفقات وترويج بيع البضاعة للعملاء في الإقليم، وتوفير الأفراد والتسهيلات اللازمة لتحقيق هذا الغرض. ويتعهد الموزع بالقيام بالترويج لبيع البضاعة إلى كل منافذ التجزئة الموجودة، والصالات الرياضية، والنوادي الصحية، ومحلات الصحة والتغذية، والصيدليات، والمؤسسات، وخلافه بشروط وبنود مميزة ونزيهه.
(c) If. at any time after a period of twelve  months  following  the commencement of the term of this Agreement, Distributor is not, in Exporter's   sole   judgment, adequately promoting the sale of the Goods in any city or area or to any category or sub-category of retail outlets  within  the Territory, Exporter may in its sole discretion appoint a person or entity other than Distributor to  be the sole and exclusive Distributor for that city or area or  for that category or sub- category of retail outlets and Distributor's  exclusive  Territory shall be accordingly reduced, provided, however that Exporter shall give Distributor sixty (60) days prior written notice of its intention to appoint a new Distributor hereunder; said notice shall become effective and operative if Distributor fails, in Exporter's sole judgment, to correct its inadequate promotion of the Goods within said sixty (60) days.	جـ. إذا وجد "المُصِّدر" من وجهة نظره وحده، في أي وقت بعد فترة إثنى عشر شهرا من بدء سريان هذا العقد، أن الموزع ، حسب تقدير "المُصِّدر" وحده، لا يقوم بما فيه الكفاية للترويج لبيع البضاعة في أي مدينة أو منطقة أو لأي نوع رئيسي أو فرعي من منافذ البيع بالتجزئة داخل الإقليم، جاز للمصدر حسب تقديره وحده تعيين شخص أو جهة أخرى غير الموزع موزعا وحيدا وقصريا لتلك المدينة أو المنطقة، أو لذلك النوع الرئيسي أو الفرعي من منافذ البيع بالتجزئة، ويتم تبعا لذلك تخفيض الإقليم القصري للموزع بشرط أن يعطي "المُصِّدر" للموزع إخطارا كتابيا مسبقا مدته ستين (60) يوما بعزمه على تعيين موزع جديد بموجب هذا العقد، على أن يصبح هذا الإخطار نافذ المفعول والسريان إذا تخلف الموزع، وفقا لتقدير "المصدر" وحده، عن تصحيح قصوره في الترويج للبضاعة في غضون فترة الستين (60) يومًا المذكورة.
4. The Distributor shall be responsible for importing the Goods into the Territory, including all paperwork, coordination of customs clearance, compliance with all government regulations   (including any applicable US export regulations) and  relations  with freight forwarders and customs brokers, all at Distributor's sole risk, cost and expense. Distributor hereby agrees    to indemnify and hold Exporter     harmless from and against any and all claims and expenses in connection with all shipping  and  import-export matters. In the event a freight forwarder does not follow instructions provided for in the shipping documents or does not properly perform, then Exporter may designate another freight forwarder, but any such designee shall continue to be the agent of the Distributor and not Exporter.	4- يكون الموزع مسئولا عن استيراد البضاعة إلى الإقليم بما في ذلك القيام بكل الأعمال الورقية، وتنسيق التخليص الجمركي، والالتزام بكل اللوائح الحكومية (بما في ذلك أي لوائح أمريكية للتصدير معمول بها)، والعلاقات مع متعهدي الشحن والسماسرة الجمركيين، ويقوم الموزع بكل ذلك على مسئوليته وعلى حسابه ونفقاته وحده دون سواه. ويوافق الموزع بموجب هذا العقد على تعويض وتبرئة ذمة "المُصِّدر" من وفي مواجهة أية مطالبات أو مصاريف فيما يتعلق بكل الأمور الخاصة بالشحن والاستيراد والتصدير. وفي حالة عدم اتباع أي متعهد شحن للتعليمات المنصوص عليها في مستندات الشحن، أو عدم أدائه التزاماته بالشكل الصحيح، يجوز للمصدر عندئذ تعيين متعهد شحن آخر، على أن يستمر هذا المتعهد المعين في العمل كوكيل للموزع وليس للمصدر
5. Exportershall :	5- يتعهد "المُصِّدر" بما يلي:
(a) Refer to Distributor all inquiries received in connection with the sale, marketing/distribution of the Goods in the Territory.	أ. أن يحيل إلى الموزع كل الاستفسارات التي يتم تلقيها فيما يتعلق ببيع وتسويق أو توزيع، أو تسويق وتوزيع البضاعة في الإقليم.
(b) Provide Distributor with technical information, a reasonably sufficient quantity of specification sheets, literature, catalogs and other printed matter/advertising  material pertaining to the Goods.	ب. تزويد الموزع بالمعلومات الفنية، وبكمية كافية من كشوف المواصفات، والمطبوعات والكتالوجات وغير ذلك من المطبوعات أو المواد الإعلانية المتعلقة بالبضاعة.
(c) Cooperate with Distributor and any forwarding agent, freight forwarder or customs broker appointed by Distributor in connection with the export of the Goods to the Territory.	جـ. التعاون مع الموزع وأي وكيل شحن أو متعهد شحن، أو سمسار جمركي يعينه الموزع فيما يتعلق بتصدير البضاعة إلى الإقليم.
6. If any Goods are to be registered in the Territory, pursuant to local government regulations, the Distributor  shall so notify Exporter  providing complete information as to procedures and documents required in connection with such registration.	6- إذا اقتضى الأمر تسجيل أي بضاعة في الإقليم بموجب لوائح حكومية محلية، على الموزع أن يخطر "المُصِّدر" بذلك ويقدم معلومات كاملة بالنسبة للإجراءات والمستندات المطلوبة فيما يتعلق بهذا التسجيل.
Exporter shall provide any documents or other information (collectively, the "Documents") requested by Distributor to obtain such registration, except that Exporter shall have the option to withhold this information   in its sole discretion and withdraw the product(s) from the Goods under this Agreement.   Any  Goods withdrawn from this Agreement shall be repurchased by Exporter from the Distributor at the invoice cost to the  Distributor  and Exporter shall pay all costs in connection with the redelivery of the withdrawn Goods to Exporter. The Distributor shall register the Goods  and comply with   all requirements of the Territory at the sole risk, expense and cost to Distributnr At the time the Documents are submitted to Distributor, it shall execute and deliver to Exporter a Confidentiality Agreement with respect to the Documents in the form annexed hereto. In the event of the expiration or termination of this Agreement for any reason whatsoever, the Distributor shall either surrender any registrations issued for the Goods or transfer such registrations to any other distributor appointed by Exporter as determined by Exporter.	ويوفر "المُصِّدر" أية مستندات أو معلومات أخرى (ويطلق على ذلك اسم "المستندات") يطلبها الموزع للحصول على هذا التسجيل، على أنه من حق "المُصِّدر" حسب تقديره وحده حجب هذه المعلومات وسحب المنتج (أو المنتجات) من البضاعة التي يشملها هذا العقد. وفي حالة سحب أية بضاعة من هذا العقد، يقوم "المُصِّدر" بشرائها من الموزع بسعر الفاتورة المرسلة إلى الموزع، ويدفع "المُصِّدر" كل التكاليف المتعلقة بإعادة تسليم البضاعة المسحوبة إليه. وعلى الموزع تسجيل البضاعة والالتزام بكل متطلبات الإقليم على مسئوليته وحسابه ونفقاته. وعند تقدير المستندات إلى الموزع، يحرر الموزع ويسلم إلى "المُصِّدر" اتفاق على السرية "بشأن المستندات بالشكل المرفق بهذا العقد. وفي حالة انتهاء أو إنهاء هذا العقد لأي سبب أيا كان، على الموزع  إما أن يسلم أية سجلات للبضاعة أو أن ينقل هذه السجلات إلى أي موزع آخر يعينه "المصدر" حسبما يقرر "المصدر".
7. (a) The price and terms of payment for all Goods purchased by the Distributor shall be at regular Distributor prices in effect at the time the order is placed, EXW, New York. All expenses incurred for inland freight to port of loading, shipping, handling, forwarding and insurance are at the sole cost and responsibility of the Distributor. Title to the Goods and risk of loss shall pass to the Distributor upon the delivery of the Goods as provided herein. All pricing of the Goods and payments by the Distributor shall be in US dollars.	7- أ تكون أسعار وشروط الدفع لكل البضاعة التي يشتريها الموزع هي الأسعار العادية للموزع السارية وقت تسليم الطلبية من المصنع في نيويورك. ويتحمل الموزع وحده تكلفة ومسئولية كل مصاريف النقل البري إلى ميناء التحميل وكذلك كل مصاريف الشحن والمناولة والتأمين. وتنتقل ملكية البضاعة والمسئولية عن الخسارة إلى الموزع فور تسليم البضاعة حسبما هو منصوص عليه في هذا العقد، وتتم كل عمليات تسعير البضاعة ودفع المبالغ من جانب الموزع بالدولار الأمريكي.
(b) (1) The Distributor shall pay for all Goods  purchased under this Agreement prior to delivery by Exporter. At the time Distributor places an order for Goods, Exporter shall submit an invoice for Goods to Distributor and  Distributor shall pay such invoice in full within thirty (30) days thereafter. If payment is not received within said time period, then the order shall be deemed canceled and of no force or effect.	ب. يدفع الموزع ثمن كل البضاعة المشتراة بموجب هذا العقد قبل قيام "المصدر" بتسليمها. ويقدم "المصدر" إلى الموزع، عند تقديم الموزع كل طلبية للبضاعة، فاتورة بثمن البضاعة، ويدفع الموزع قيمة هذه الفاتورة بالكامل في غضون ثلاثين (30) يومًا من تسلمه للفاتورة. وفي حالة عدم استلام المبلغ في غضون الفترة المذكورة، تعتبر الطبية لاغية وغير ذي أثر.
8. Distributor agrees to purchase the following  minimum amount of Goods during each year of the term hereof as follows :	8- يوافق الموزع على شراء الحد الأدنى التالي من البضاعة خلال كل عام من مدة سريان هذا العقد على النحو التالي:
1st year, not less than ....... U.S.$ 2nd year, not less than ...... U.S.$	العام الأول – لا يقل عن ..... دولار أمريكي العام الثاني – لا يقل عن .... دولار أمريكي
3rd year, not less than ...... U.S.$	العام الثالث – لا يقل عن .... دولار أمريكي
thereafter, each renewal year increase per year over the previous year.	بعد ذلك ـ كل سنة تجديد زيادة مقدارها .. كل سنة عن العام السابق.
In the event that Distributor does not comply with the minimum purchase amounts set   forth herein, then Exporter shall have the right at any time thereafter (i) to terminate the exclusive rights granted to Distributor on thirty (30) days prior written notice to Distributor  (in which event this Agreement shall thereafter continue on a non-exclusive basis only) and/or (ii) terminate and cancel this Agreement on not less than two (2) months prior written notice to Distributor.	وفي حالة عدم التزام الموزع بالحد الأدنى من مبالغ الشراء الموضحة في هذا العقد يكون من حق "المصدر" في أي وقت بعد ذلك: (أ) إنهاء الحقوق القصرية الممنوحة للموزع بموجب إعطاء إخطار كتابي مسبق مدته ثلاثين (30) يوما إلى الموزع (وفي هذه الحالة يستمر هذا العقد بعد ذلك على أساس غير قصري فقط)؛ أو (ب) إنهاء وإلغاء هذا العقد بموجب إعطاء إخطار كتابي مسبق مدته شهرين (2) إلى الموزع؛ أو كلا الأمرين معا.
