The Principal is engaged in basic poultry breeding, research and development and sales of breeding stock such as grandparent chicks, parent chicks, commercial chicks and/or hatching eggs;	حيث أن المُوكِّل يقوم بتربية الدواجن وإجراء الأبحاث عليها، وتنميتها، وبيع كتاكيت التربية مثل كتاكيت الأجداد، وكتاكيت الآباء، والكتاكيت التجارية، وبيض التفقيس أو أيا مما سبق؛
The Principal is the exclusive owner of the world-wide registered trademark ………..:	وحيث أن المُوكِّل هو المالك الوحيد للعلامة التجارية العالمية المسجلة .....؛
The Agent desires to act as the exclusive representative of the Principal in the country of Egypt, "Territory" for the marketing of ABC Products;	- وحيث أن الوكيل يرغب في العمل ممثلا وحيدا للموكل في دولة مصر "الإقليم" لتسويق منتجات "إيه. بي. سي."؛
The Principal is willing to appoint the Agent for the above purpose but only under the terms, conditions and restrictions as hereinafter specified;	- وحيث أن المُوكِّل يرغب في تعيين الوكيل للغرض الموضح أعلاه ولكن وفقا فقط للبنود والشروط والأحكام والقيود المبينة فيما بعد في هذا الاتفاق؛
- Both parties attach great value to continuously:	- وحيث أن كلا الطرفين يوليان أهمية كبيرة للعمل باستمرار على:
a) improve the quality of Principal's Products;	أ- تحسين جودة منتجات الوكيل.
b) increase Principal's sales and market share in the Territory and	ب- زيادة مبيعات الوكيل وحصته في السوق في "الإقليم"،
c) keep the after-sale service at a high quality level,	جـ - القيام بخدمة ما بعد البيع على مستوى فائق الجودة،
NOW, THEREFORE, it is mutually agreed by and between the parties as follows:	لــذا ـ اتفق الطرفان فيما بينهما على ما يلي:
1. The Principal hereby appoint the Agent as the exclusive Agent of the Principal in the Territory with regard to the sale of Principal's products such as: hatching eggs, commercial day-old chicks, pullets, parent stock and grandparent stock.	1- يُعيِّن المُوكِّل الوكيل بموجب هذا العقد وكيلا وحيدا له في "الإقليم" فيما يتعلق ببيع منتجات المُوكِّل، مثل : بيض التفقيس، الكتاكيت التجارية عمر يوم واحد، الكتاكيت الصغيرة، الدجاج الآباء، والدجاج الأجداد.
2. The Agent hereby agrees to inform the Principal periodically (at least four times per year) about market developments and sales situations pertaining to the Territory in the widest possible sense; the Principal agrees to inform the Agent of any inquiries they may receive directly or indirectly from the Territory.	2- يوافق الوكيل بموجب هذا العقد على إبلاغ المُوكِّل دوريا (أربع مرات في السنة على الأقل) بتطورات السوق وأوضاع المبيعات المتعلقة بالإقليم بكل ما يعنيه ذلك، ويوافق المُوكِّل على إبلاغ الوكيل بأي استفسارات قد يتلقاها بشكل مباشر أو غير مباشر من الإقليم.
3. The Agent agrees not to handle any lines or to undertake any activities conflicting with or adversely affecting the interest of the Principal, not should the Agent represent directly or indirectly any poultry Breeding company other than ABC.	3- يوافق الوكيل على عدم التعامل مع أي مشروعات، أو القيام بأي نشاطات تتعارض مع أو تؤثر بالسلب على مصلحة المُوكِّل، وعلى الامتناع عن القيام بشكل مباشر أو غير مباشر بتمثيل أية شركة لتربية الدواجن غير شركة إيه. بي. سي.
4. The Agent shall not bind the Principal financially, commercially or otherwise towards third parties or to make expenses on behalf of the Principal without his prior written consent..	4- يتعهد الوكيل بعدم إلزام المُوكَّل ماليا أو تجاريا أو خلافه نحو الغير، أو إنفاق مصروفات باسم المُوكِّل بدون موافقة خطية مسبقة منه.
5. All orders shall be subject to acceptance and confirmation by the Principal. Sales shall be subject to the prevailing terms and conditions of sales as provided to the Agent, from time to time.	5- تخضع كل الطبيات لقبول وتصديق المُوكِّل. وتخضع المبيعات للبنود والشروط السائدة المتعلقة بالمبيعات حسبما تُقدَّم للوكيل من حين لآخر.
6. For its services thus rendered or to be rendered, the Principal shall pay to the Agent the following gross remunerations inclusive of all taxes, duties and levies to which the Agent may be liable in Egypt:	6- يدفع المُوكِّل للوكيل مقابل الخدمات المقدمة أو التي سيتم تقديمها الأتعاب الإجمالية التالية شاملة كل الضرائب والرسوم وغير ذلك مما قد يخضع له الوكيل في مصر:
a) a commission fee of 2% over the C&F value of hatching eggs, commercial day-old chicks and pullets,	أ- رسم عمولة قدره (2%) زيادة عن القيمة شاملة الثمن والشحن لبيض التفقيس، والكتاكيت التجارية عمر يوم واحد، والفراخ الصغيرة.
b) parent stock and grandparent stock sold directly or indirectly by the Principal in the Territory, commission fees will be paid in Dutch florins twice a year over the sales volume for which payment has been fully and unconditionally received by Principal.	ب- بالنسبة للدجاج الآباء والدجاج المباع بشكل مباشر أو غير مباشر من المُوكِّل في الإقليم، يُدفع رسم العمولة بعملة الفلورين الهولندية مرتين في العام على حجم المبيعات التي تلقي الموكل ثمنها بالكامل بشكل غير مشروط.
7. Without prejudice to clause 6 above the Agent shall be entitled to the full remuneration on all transactions formally concluded during the validity of this Agreement.	7- مع عدم الإخلال بما جاء بالمادة (6) أعلاه، يستحق الوكيل أجرا كاملاً عن كل الصفقات التي تتم رسميا خلال مدة سريان هذا العقد.
8. The Agent shall not without the prior written consent of the Principal assign or in any manner transfer the benefits or obligations under this Agreement.	8- يمتنع على الوكيل التنازل عن مصالحة أو التزاماته بموجب هذا العقد، أو نقلها للغير بأية صورة من الصور بدون موافقة خطية مسبقة من الموكل.
9. The Agent hereby acknowledges that the Trademarks, and other distinctive visual communications supplied and/or used by the Principal with respect to Products, will remain the property of the Principal and Agent shall always use the Trademarks only in accordance with the terms of this Agreement.	9- يقر الوكيل بموجب هذا العقد بأن العلامات التجارية وغيرها من العلامات المرئية المميزة التي يقدمها الموكل أو يستخدمها، أو يقدمها ويستخدمها معا، فيما يتعلق بالمنتجات ستظل مملوكة للموكل، ويمتنع الوكيل عن استخدام العلامات التجارية إلا طبقا لشروط هذا العقد.
10. Should one of the parties violate any of the provisions contained herein, the other party may forthwith terminate this Agreement through simple written notice upon the expiry of a two weeks' notice requesting the immediate remedy of the identified violation, provided that such violation is not remedied at such expiry date.	10- في حالة مخالفة أي من الطرفين الأحكام هذا العقد، يجوز للطرف الآخر في الحال إنهاء هذا العقد بموجب إخطار كتابي بسيط مدته أسبوعين، فور انتهاء مدة الإخطار، يطلب فيه الإصلاح الفوري للمخالفة الموضحة على ألا يتم إصلاح تلك المخالفة في تاريخ انتهاء الإخطار.
11. This agreement shall be valid for a period of I (one) year as from the 1st of July 1996 and shall thereafter automatically be renewed from year to year on identical terms unless either party gives the other party 3 (three) months prior notice of termination by means of a registered letter.	11. يسري هذا العقد لمدة عام واحد اعتبارا من الأول من يوليو عام 1996 ويجدد تلقائيا بعد ذلك من عام لآخر وفقا لشروط متطابقة ما لم يخطر أي طرف الطرف الآخر بخطاب مسجل برغبته في إنهائه بموجب إخطار مسبق خلال فترة ثلاثة شهور.
12. In the event of termination for any reason whatsoever and at any time whatsoever: (a) the Agent shall be entitled only to remunerations as described in clauses 6 and 7 above, the payment of which shall constitute full and final settlement of all his dues; and (b) the Agent shall immediately cease to utilize in any from or manner the Trademarks.	12. في حالة إنهاء العقد لأي سبب من الأسباب وفي أي وقت من الأوقات: (أ) لا يستحق الوكيل سوى الأجور الموضحة في المادتين (6) و (7) أعلاه والتي يشكل دفعها تسوية كاملة ونهائية لكل مستحقاته؛ (ب) يتوقف الوكيل فورا عن استغلال العلامات التجارية بأي شكل من الأشكال.
13. Changes and additions to this Agreement are only valid when confirmed by the parties in writing.	13- لا تسري التعديلات والإضافات المدخلة على هذا العقد إلا بعد تصديق الأطراف عليها خطيا.
14. Any dispute between the Principal and the Agent arising in connection with this Agreement will be settled by Dutch Law.	14- أي نزاع ينشأ بين الموكل والوكيل فيما يتعلق بهذا العقد سيتم الفصل فيه وفقا للقانون الهولندي.
15. Principal hereby undertakes to inform the Egyptian embassy in The Hague/Holland of any modification of this Agreement.	15- يتعهد الموكل بإبلاغ السفارة المصرية في لاهاي في هولندا بأي تعديل لهذا العقد.
16. Agent shall arrange for the immediate and proper registration of this Agreement with the relevant Egyptian authorities.	16- يقوم الوكيل بالترتيبات الخاصة للتسجيل الصحيح لهذا العقد لدى السلطات المصرية المختصة.
Executed in duplicate by ABC, Holland, on the third day of July, 1996.	تحرر من نسختين أصليتين بواسطة شركة إيه.بي.سي.، هولندا، في اليوم الثالث من شهر يوليو، عام 1996.
