أثبت ما يلي	WITNESSETH
لما كان المرخص له يقوم ببيع وتوزيع عصائر ومشروبات موالح وفواكه معينه في أنحاء مصر وعدة دول أخرى في العالم؛	WHEREAS Licensee is engaged in the sale and distribution of certain citrus and fruit juices and drinks hereinafter referred to as “Products” throughout Egypt and various other countries of the world; and
ولما كان المرخص يرغب في توفير مصادر توريد إضافيه لتعبئة المنتجات من مكونات يتم الحصول عليها وتوريدها بواسطة المرخص له؛	WHEREAS Licensor desires additional sources of supply for Products to be packed from ingredients obtained and/or supplied by Licensee; and
ولما كان المرخص له يرغب في معالجة وتعبئة وتخزين ومناولة المنتجات لصالح طبقا لشروط هذا العقد؛	WHEREAS Licensee desires to process, pack, store and handle Products for Licensor in accordance with the terms hereof,
لذا فإنه في مقابل الوعود والتعهدات والإتفاقات المتبادله الموضحه في هذا العقد إتفق الطرفان على ما يلي:	NOW, THEREFOR, in consideration of the promises and of the mutual covenants and agreements herein set forth, the parties agree as follows:
1- الإنتاج:	I- PRODUCTION:
يوافق المرخص له على أن يؤدي في مصنعه الكائن في........... كل الخدمات الضروريه، وأن يوفر للمرخص كل التسهيلات والمعدات اللازمه لمعالجة وخلط وترميز وتعبئة وتخزين ومناولة المنتجات الموضحه في الكشف (أ) الملحق بهذا العقد والمتمم له بما يطابق تماما التركيبات والتعليمات والمواصفات التي يحددها المرخص.	Licensee agrees to perform at its plant in............ all necessary services and provide for Licensor all necessary facilities and equipment to process, mix, code, pack, store and handle Products listed in Exhibit “A” annexed hereto and made a part hereof in strict conformity with the formulae, instructions and specifications specified by Licensor.
2- أتعاب العبئه والمحاسبه:	2- PACKING FEE & INVOICING:
أ-يرسل المرخص له فاتورة إلي المرخص مرة واحدة في الشهر عن أتعاب التعبئة لكل المنتجات المنتجه لصالح المرخص خلال الشهر السابق. وتكون كل فاتورة من هذا القبيل عن مبلغ يتم حسابه على أساس الأتعاب الموضحه في الكشف (أ) الملحق بهذا العقد، ويمثل هذا المبلغ ويكون هو المقابل المدفوع بالكامل نظير أرباح المرخص له وغير ذلك من التكاليف والمصروفات بما في ذلك مصاريف العماله والمصاريف العامه ومختلف التوريدات بما في ذلك الصناديق وغشاء التحزيم الضاغط وكل المواد اللاصقه والمياه، وخلافه. وتشمل كل فاتوره أيضا المعلومات التي قد يطلبها المرخص بما يسمح بمضاهاتها وبالتقارير الأخرى المقدمه من المرخص له. ويدفع المرخص قيمة هذه الفواتير في الحال.	(a) Licensee shall invoice Licensor once each month for the packing fee for all Products produced for Licensor during the previous month. Each such invoice shall be for an amount calculated upon the basis of the fees set forth in Exhibit “A” annexed hereto which amount shall represent and be in full payment of Licensee’s profit and all other costs and charges including labor, overhead and miscellaneous supplies including trays, shrink film, all glue, water, etc. Each invoice shall also include such information as Licensor may request to permit cross reference to the other reports submitted by Licensee. Licensor shall pay such invoices promptly.
ب- يكون المرخص مسئولا وحده عن محاسبة عملائه عن المنتجات المباعة إليهم، ويوافق المرخص له على عدم قبول أية مدفوعات من عملاء المرخص.	(b) Licensor shall be solely responsible for the invoicing of its customers for Products sold to them and Licensee agrees not to accept any payments from I,icensnr’s enstnmers
3- التقارير:	3- REPORTS:
يسلم المرخص له إلي المرخص التقارير المذكورة بالشكل الذي قد يطلبه المرخص من حين لآخر بشكل معقول بما في ذلك التقارير التي توضح توريدات التعبئه التي تم شراؤها وتلقيها واستخدامها أو أيا من ذلك؛ وكذلك المنتجات التي تمت تعبئتها وشحنها أو أيا من ذلك؛ وقوائم الجرد الخاصة بتوريدات التعبئة والنتجات الجاهزه.	Licensee shall deliver to Licensor such reports in such form as Licensor may from time to time reasonably request including reports showing packing supplies purchased, received and/or used, products packed and/or shipped; and inventories of packing supplies and Products on hand,
4- الخزين والمناوله:	4- STORAGE AND HANDLING:
يخزن المرخص له المنتجات لصالح المرخص في مصنع المرخص له ويقوم بتحميلها، للطبيات التي يتلقاها من المرخص، على الناقلات التي يختارها ويعينها المرخصلشحنها على حساب المرخص إلى الجهات التي يحددها المرخص. وعند سحب المنتجات من المجزون لشحنها يقوم المرخص له دائما (ما يكلف كتابيا من المرخص بغير ذلك) بشحن المنتج الأقدم أولا؛ بمعنى أنه عند السحب من المخزون يلزم المرخص له بقاعدة "مادخل له نسخا من كل قوائم التحميل (أو ماينظرها) وغير ذلك من الأوراق الدالة على الشحن مع تقارير الإنتاج لتي يقوم المرخص له بتجهيزها بموجب المادة (3) من هذا العقد، ويرسلها بالبريد إلى المرخص باستمرار كلما كان ذلك ممكنا من الناحية العملية.	Licensee shall store Products for Licensor in Licensee’s plant and will, in accordance with orders received from Licensor, load the same on carriers as selected and designated by Licensor for shipment at the expense of Licensor to the destinations specified by Licensor. In withdrawing Products from inventory for shipment, Licensee shall, unless otherwise instructed in writing by Licensor, always ship the oldest products first; that is to say, in withdrawal from inventory Licensee shall adhere to the rule of "first in, first out". Licensee shall attach copies of all loading tickets (or equivalent) and other supporting shipping papers to Production Reports prepared by Licensee pursuant to Article (3) hereof, and mail the same to Licensor as often as is practical.
5- العجوزات والنسب المسموح بها للفاقد:	5- SHORTAGES AND LOSS ALLOWANCES:
يكون المرخص له في جميع الأوقات مسئولا عن كل توريدات التعبئه والمنتجات وغير ذلك من مملكات المرخص التي في عهدة المرخص له وتحت رعايته وإشرافه، كما يكون مسئولا أمام المرخص ويعوضه عن أي إستخدام غير مصرح به أو أي فاقد أو عجوزات غير مبرره أو غير مصرح بها في توريدات التعبئه المشار اليها أو في المنتجات والممتلكات أو عن أية تلفيات تلحق بها بغض النظر عن سبب هذا الإستخدام غير المصرح به أو الفاقد أو العجز أو التلف، على أنه عند تعبئه المنتجات بموجب هذا العقد، فإنه يسُمح للمرخص له بنسب الفاقد في المعالجه المحدده في الكشف (ب) الملحق بهذا العقد والمتمم له.	Licensee shall, at all times, be responsible for all packing supplies, Products and all other property of Licensor in its care, custody or control, and shall be responsible to. and shall reimburse Licensor for any unauthorized usage or any unaccounted for or unauthorized losses or shortages of such packing supplies, Products and property, or for damages thereto, regardless of the cause of such unauthorized usage, losses, shortage or damage, provided, however, that in packing Products hereunder Licensee shall be permitted the processing loss allowances specified in Exhibit “B” annexed hereto and made a part hereof.
6- المواصفات:	6- SPECIFICATIONS:
تعبأ كل المنتجات التي يقوم المرخص له بحيث تكون متطابقه تماما مع تعليمات المرخص ومواصفات الإنتاج حسب تعديلها من حين لآخر كتابيا بواسطة المرخص، ومرفق مع هذا العقد في الكشف (ب) نسخة من هذه التعليمات ومواصفات الإنتاج المعمول بها من تاريخ هذا العقد.	All Products packed by Licensee shall be packed in strict conformity with Licensor’s instructions and manufacturing specifications as from time to time amended in writing by Licensor. A copy of such instructions and manufacturing specifications in effect as of the date hereof is attached hereto as Fxhihit “R”
ويجوز للمرخص من وقت لآخر إجراء تغيرات معقولة في هذه المواصفات أو في العبوات أو في العبوات أو في تصميمات أي من المنتجات بشرط أن لايتطلب هذا التغيير إجراء تغيير جوهري في المعدات اللازمة للمعالجة أو التعبئة. ويجب كذلك أن تكون كل المنتجات المعبأة بواسطة المرخص له متمشية مع كل القوانين واللوائح المعمول بها لدى المرخص بشأن إنتاج المنتجات الغذائية. وتكون كل المنتجات المعبأة بواسطة المرخص له بموجب هذا العقد، والعبوات، في حالة جيدة ونظيفه وصحيه، وخاليه من أية مادة غريبة، كما يجب أن تكون مطابقة تماما لمستويات الصحة والجودة والتعبئة التي يحددها المرخص.	Licensor may from time to time make-reasonable changes in said specifications or in the containers or designs of any of the Products provided that such change does not require a material change in the processing or packaging equipment required. All Products packed by Licensee shall also comply with all applicable laws and regulations of the Licensor governing the manufacture of food products. All Products packed by Licensee hereunder and the containers, and cases in which the same are packaged shall be in good, clean, sanitary condition free and clear from any foreign substances and shall be strictly in conformity with the standards of sanitation, quality and packaging specified by Licensor.
المساعدة الفنية والعينات:	7- TECHNICAL ASSISTANCE AND SAMPLES:
يزود المرخص على حسابه الخاص ونفقاته الخاصه المرخص له بالمساعدة الفنية المتمرسة وأطقم الإشراف المؤهله التي يعتبرها المرخص ضرورية لتدريب المرخص ضرورية لتدريب المرخص له حول أنسب الطرق لخلط المنتج وتعبئته طبقا للمواصفات. ويقوم المرخص له على حسابه بتزويد المرخص بعينات من المنتجات المعبأة بموجب هذا العقد وكذلك بأية عينات أخري للمكونات وتوريدات التعبئة التي قد يطلبها المرخص من حين التي قد يطلبها المرخص من حين لآخر بشكل معقول لتقييم الجوده. ويكون من حق ممثلي المرخص حرية معاينة المصنع وخط التعبئة التابعين للمرخص له في جميع الأوقات التي يتم خلالها تعبئة المنتجات، وكذلك حرية معاينة مخازن المرخص له التي يتم فيها تخزين توريدات التعبئة والمكونات.	Licensor shall at its own cost and expense furnish Licensee with such qualified technical assistance and supervisory personnel as Licensor may deem necessary to instruct Licensee in the proper mixing and packing of Products in accordance with the specifications. Licensee shall, at its expense, furnish Licensor with samples of Products packed hereunder and with such other samples of ingredients and packing supplies as Licensor may from time to time reasonably request for quality evaluation. Representatives of Licensor shall have tree access to Licensee’s plant and packaging line at any and all times during which Products are packed and to Licensee’s storerooms where packing supplies and ingredients are stored. Licensee agrees to maintain all
ويوافق المرخص له على الإحتفاظ بكل المنتجات المخزونة في درجات الحرارة الموضحة في الكشف (ب) المرفق بهذا العقد.	Products in storage at the temperatures specified in Exhibit “B” hereof.
8- الضمان:	8- WARRANTY:
يضمن المرخص له مطابقة كل المنتجات التي يقوم بتعبئتها وتخزينها زمناولتها للمواصفات، ولمتطلبات التخزين والمناوله التي يحددها المرخص، ويكون المرخص له مسئولا عن كل المنتجات التي تتم معالجتها أو تخزينها أو مناولتها بشكل غير صحيح	Licensee warrants that all Products packed, stored and handled by it will be in accordance with the specifications, and storage and handling requirements supplied by Licensor and Licensee shall be responsible for all improperly processed, stored or handled Products.
9- التعويضات:	9- INDEMNITIES:
أ- يدافع المرخص له عن المرخص ويبرئ ذمته من وفي مواجهة أية مطالبات أو إلتزام أو خسارة أو تلف ضد المرخص تحدث في وترفع داخل الدول العربية (كما هي محددة فيما بعد) بناء على أو نتيجة لإهمال إيجابي أو سلبي من جانب المرخص له أو وكلائه أو مقاوليه أو مستخدميه أو موظفيه في تشغيل مصنع المرخص له، أو في تجهيز المنتجات أو تصنيعها أو معالجتها أو تعبئتها أو تخزينها أو حفظها أو مناولتها. وتعوض المرخص له بموجب هذا العقد المرخص عن أية مطالبات أو إلتزام أو خسارة أو تلف ضد أو من جانب الغير يتم رفعها داخل الدول العربية (كما هي محددة فيما بعد في هذا العقد) نتيجة لحالة توريدات التعبئة التي يقوم بتوريدها المرخص له، ولكن لا يكون المرخص مسئولا عن أية مطالبات أو إلتزامات أو إصابات أو تلفيات أو قضايا، أو تكاليف أو مصاريف تترتب بأي شكل على الإهمال من جانب المرخص في العمليات التي يقوم بها بموجب هذا العقد	a) Licensee shall defend and hold Licensor harmless from and against any and all claims, liability, loss or damage against Licensor occurring in and lodged within the Arab countries (as hereinafter defined) based upon or-arising out of the active or passive negligence of Licensee, its agents, contractors, servants or employees in the operation of Licensee’s plant, or in the preparation, manufacturing, processing, packaging, storing, warehousing, or handling of Products. Licensee hereby shall indemnify and hold Licensor harmless from and against any and all claims, liability. loss or damage against or bya third party lodged within the Arab countries (as hereinafter defined) arising out of the condition of packing supplies supplied by Licensee provided that Licensee shall not be liable for any claims, liabilities. Injuries, damages, lavssuits. Costs or expenses arising in any way from Licensor’s negligent operations under this contract.
ويعوض المرخص له بموجب هذا العقد المرخص ويبرئ ذمته من وضد أية مطالبات أو إلتزام أو خسارة أو تلف أو تكاليف أو مصاريف مما ينشأ عن إستخدام أي من العلامات التجارية أو العلامات المميزه، أو العلامات المميزه، أو البطاقات المميزة للمنتج، أو التصميمات (وتسري أحكام هذه الفقرة بعد أي إنهاء لهذا العقد).	Licensee further shall hereby indemnify and hold Licensor harmless from and against any and all claims. Liability, loss, damage, cost or expense arising out of the use of any of Licensor’s trademarks, brands. Markings. Labels or designs. (The provisions of this paragraph shall survive any termination of this Agreement).
ب) فيما يتعلق بأغراض هذا العقد، لا يُقصد بكلمة "الدول العربية" إلا الإمارات العربية المتحدة وعمان وقطر والبحرين والكويت والسعودية واليمن الشمالية واليمن الجنوبية.	b) For the purposes of this Agreement. “Arab Countries” shall be deemed to include only the United Arab Emirates; Oman; Qatar; Bahrain; Kuwait; Saudi Arabia; North Yemen and South Yemen.
8- التامين:	8. INSURANCE :
أ- يوفر المرخص له ويحتفظ على حسابه بتأمين على عاملية ضد حوادث العمل فيما يتعلق بفقدان الأرواح أو الإصابات الجسديه طبقا لجدول تعويض العاملين في القانون رقم (8) لسنه 1980 بشأن تنظيم علاقات العمل وبالمثل، يوفر المرخص له أيضا ويحتفظ على حسابه ونفقاته بتأمين لتعويض العاملين يشمل كل العاملين لديه الذين قد يدخلون عقار المرخص له طبقا لقوانين الدولة التي تسري على هؤلاء العاملين، وكذلك طبقا للقوانين المعمول بها في ..............	a) Licensee shall, at its own cost and expense, procure and maintain insurance covering his workmen against work accidents in respect of loss of life or bodily injuries in accordance with the Workmen’s Compensation Scale of law No (8) of 1980 regulating labour relations. Similarly, Licensee shall also procure and maintain at its own cost and expense Workmen’s Compensation Insurance covering all of its own employees who may enter upon Licensee’s premises in accordance with the laws of the country governing such employees as well as applicable law- of
ب- يوفر المرخص له ويحتفظ أيضا بما يلي:	b) Licensee shall also procure and maintain-
1- تأمين مسئوليه عامه بما في ذلك المسئولية عن المنتجات يغطي ............. في حدود بالنسبة للإصابة الجسدية أو فقدان الأرواح لا تقل عن مليوني (2.000.000) دولار أمريكي عن كل حادث واحد، أو بصفة إجمالية في أية فترة تأمين، ويمد الغطاء التأميني بحيث يشمل كل الدول العربية كما هي محددة في المادة (9- ب) من هذا العقد مع مراعاة الإخصاص القضائي لهذه الدول العربية.	Public liability insurance including Products liability covering................ with limits for bodily injury or loss of life of not less than U.S. 2,000,000 per occurrence or in the aggregate in any insurance period and extending coverage to allArab countries as defined in Article 9 (b) hereof subject to jurisdiction of such Arab Countries: and
2- تأمين عن الضرر بالممتلكات يحدد إسم المرخص والمرخص له بوصفهما مؤمن عليهما معا مع مراعاة حقوق كل منهما ومصالحه بحيث يغطي كل ممتلكات أي طرف في عقار المرخص له، ويؤمن على كلا الطرفين ضد كل مخاطر الخسارة والتلف بالقيمة الكاملة للمتلكات المؤمن عليها.	II. Property damage insurance naming Licensor and Licensee as coinsured, subject to their respective rights and interest, covering all property of either party on Licensee’s premises and insuring both parties against al. risk of loss and damage to the full value of the property insured.
جـ- تكون التأمينات المنظمة بموجب المادة (10) من هذا العقد طبقة أولى مبدئية، وبقدر ما هو مطلوب تخضع لإحكام شركة ............ للتأمين، وقانون وكلاء التأمين رقم (9) لسنه 1984 لاسيما المادة رقم (6) فيما يتعلق بالممتلكات الموجودة في، والمسئولية التي تنشأ داخل أقاليم......... .	c) The insurance arranged under Article 10 of this Agreement shall be primary first layer, and to the extent required shall comply with the provisions of................ insurance company and Insurance Agents Law No (9) of 1984 specially Article (6) in respect of property located in and liability arising within the.............. territories.
د- يوافق المرخص له على أن يقدم إلى المرخص شهادات مدفوعة قيمتها بالكامل لكل بوالص التأمين المطلوب بموجب هذا العقد تحدد أن التأمين لن يتم إلغاؤه أو تغييره أو السماح بإنقضاء مدته عن طريق عدم التجديد أو التخلف عن طريق عدم التجديد أو التخلف عن دفع أقساطه إلا بإخطار كتابي مسبق في غضون ثلاثين يوما يرسل إلى كل من المرخص والمرخص له لفترة تنتهي بعد عام واحد من إنتهاء هذا العقد. وعند تلقي هذه الشهادات يدفع المرخص له إلى المرخص له إلى المرخص المبلغ اللازم بالحصول على التأمين لصالح ........... كما هو منصوص علية في الفقرة الفرعية (ب) أعلاه.	d) Licensee agrees to furnish to Licensor fully paid certificates of all policies of insurance required hereunder stipulating that the insurance will not be canceled, changed or allowed to lapse through non-renewal or failure to pay the premiums therefor, except upon not less than thirty (30) days prior written notice, to both Licensor and Licensee, for a period ending one (1) year after termination of this Agreement. Upon receipt of such certificates, Licensee will pay Licensor the sum necessary to cover the additional premiums involved in obtaining insurance for ..... as provided in subparagraph (b) above.
11- حق المكلية:	II- TITLE:
تظل كل المنتجات التي يتم تعبئتها بواسطة المرخص له ملكا للمرخص حتي الشحن، ويوافق المرخص له على الإحتفاظ بكل منتجات المرخص وتوريدات التعبئة في مكان منفصل ومميز عن تلك التي يمتلكها المرخص له، وكذلك لن تختلط منتجات المرخص بمنتجات المرخص له.	Title to all products packed by Licensee shall remain with Licensor until shipment and Licensee agrees to keep all of Licensor’s Products and packing supplies separate and segregated from those owned by Licensee. Also. Licensor’s Products will not be comingled with Licensee’s own products.
12- العلامات التجارية والسرية:	12- TRADEMARKS AND CONFIDENTIALITY:
يفهم المرخص له ويوافق على أن تركيبة وأساليب تعبئة ومواصفات المنتجات والعلامات التجارية المذكورة سابقا هي إما ملكا للمرخص وحده دون سواه، أو تحت سيطرته، ويقر المرخص له بصلاحية العلامات التجارية المذكورة، ويوافق المرخص له على أنه ما شئ في هذا العقد يعطيه أية مصلحة في العلامات التجارية المذكور أنفا أو في أية بطاقات مميزة للمنتج، أو في تصميم أو إعلان، أو خلافه مما يستخدم فيما يتعلق بذلك. ويوافق المرخص له على الإحتفاظ بسرية التركيبات وأساليب التعبئه والمواصفات المذكورة.	Licensee understands and agrees that the formulae, packing techniques and specifications of and for Products, and the trademarks aforesaid are either the sole and exclusive property of or under the control of Licensor, and Licensee acknowledges the validity of said trademarks. Licensee agrees that nothing herein shall give it any interest in the trademarks aforesaid or in any label, design, advertisement, etc. used in connection therewith, and Licensee agrees to keep said formulae, packing techniques and specifications confidential.
13- القوة القاهرة:	13- FORCE MAJEURE:
لا يكون أي طرف مسئولا عن أي تأخير أو تخلف عن تنفيذ أي من إلتزاماته بموجب هذا العقد نتيجة لأية أسباب أو ظروف طارئه تخرج عن نطاق سيطرة كل منهما بما في ذلك على سبيل المثال لا الحصر الحرائق والحوادث وأحداث القضاء والقدر والحرب والإضرابات وغير ذلك من النزاعات العمالية والتصرفات أو الأوامر أو اللوائح الحكومية، وجميع المسائل الأخري التي تخرج عن إرادة الأطراف.	Neither party shall be liable for any delays or failures to perform any of its obligations hereunder due to any causes or contingencies beyond each party’s control, including but not limited to fires, accidents, acts of God, war, strikes or other labor disputes, governmental action, orders or regulation. and any and all other matters beyond the control of the parties.
14- التنازل:	14- ASSIGNMENT:
لا يجوز لأي طرف في هذا العقد أن يتنازل عن هذا العقد أو ينقله إلى الغير أو ينقل أي حق فيه بدون موافقة كتابية مسبقة من الطرف الآخر.	Neither party hereto may assign or transfer this Agreement or any right hereunder without the prior written consent of the other.
15- المدة والإنهاء:	15- TERM AND TERMINATION:
يسري هذا العقد اعتبارا من تاريخه، ويستمر سريانه بالكامل حتي إنهائه إعتبار من آخر يوم في أي شهر ميلادي من جانب أي طرف وذلك عن طريق إعطاء الطرف الآخر إخطارا كتابيا لاتقل مدته عن تسعين (90) يوما بهذا الإنهاء. ولا يترتب على أي إنها من هذاالقبيل أية تكلفه أو إلتزام من طرف للطرف الآخر مالم يتفق على غير ذلك في هذاالعقد.	This Agreement shall become effective on the date hereof and shall continue in full force and effect until terminated as of the last day of any calendar month by either party by giving the other party not less than ninety (90) days written notice of such termination, and any such termination shall be without cost or obligation by one party to the other except as otherwise provided herein.
ينتهي هذا العقد أيضا في الحال في حالة تقصيرأي طرف أو في حالة إعسار أي طرف دعوى إفلاس أو رفعت ضده عريضة دائنين ولم يتم إبطالها في غضون عشرة أيام. وفي حالة أي إنها من هذا القبيل تعاد كل ممتلكات المرخص في مصنع أو مصانع المرخص له في الحال إلى المرخص على حساب المرخص له، ويمتنع المرخص له فورا عن أي إستخدام للعلامات التجارية التي يمتلكها المرخص أو التي تخضع لإشرافه التي يمتلكها وتخضع لإشرافه0	This Agreement shall also terminate immediately in the event of default by either party or in the event either party becomes insolvent. files bankruptcy or a petition for bankruptcy is filed against it which is not vacated within ten (10) days or if either party should file a petition in and of creditors. In the event of any such termination any and all property of Licensor at Licensee’s plant or plants shall forthwith be returned to Licensor at Licensee’s expense and Licensee shall immediately cease any and all use of Licensor’s owned and/or controlled trademarks.
16- إنتقاء صفة المشروع المشترك:	16- NO JOINT VENTURE:
مامن شئ في هذا العقد ينبغي تفسيره على أنه ينشئ أية وكالة أو شراكه أو مشروع بين الطرفين.	Nothing herein shall be construed to create any agency, partnership or joint venture between the parties.
إثباتا لما تقدم، تحديد هذا العقد من الطرفين وبمعرفتهما على نحو صحيح في اليوم والسنة المذكورين في صدره.	In Witness Whereof, the parties have hereunto caused this Agreement to be duly executed the day and year first above written.
