Preliminary
Sale Contract
On
Wednesday, 01/10/2008, this contract was made and entered into by and between:
First: Mr. Ahmed Gohar Abdel Kader Salah, Egyptian,
Muslim, living at Villa 2, West Golf, Fifth Settlement, New Cairo, National
Identification No 0101814.
(First Party, Seller)
Second: Mr. Mohamed Ahmed Gohar
Abdel Kader Saleh, Egyptian, Muslim, living at Villa 4, West Golf, Fifth
Settlement, New Cairo, National Identification No: 0105654.
(Second Party, Buyer)
The parties have declared their
legal capacity to enter into contract and take action, and agreed as follows:
Article One
With all legal and actual
guarantees, the first party sold to the second party tha accepts the same the
first floor of the property established on plot No 250, Al Emarat District 3/4,
fifth settlement, New Cairo, for a total area of 380 m2 (three
hundred eighty square meters) that satisfies all finishes, utilities and
paints.
Article Two
This sale was made for final total
amount of LE 1100000 (ONLY one million one hundred thousand Egyptian pounds)
paid by the second party, buyer, to the first party, seller, during the sitting
of the contract and his signature of the contract shall be final clearance of
the full price.
Article Three
Ownership of the property the
subject matter of sale was transferred to the first party by purchase from Eng.
Mohamed Abdel Mon'em Kamel according to the contract dated 01/01/2007.
Article Four
The First Party, Seller, has
declared that the property the subject matter of sale is free of all rights of
all types to the third parties, and shall ensure that the third party shall
hold the buyer harmless concerning this sale.
Article Five
The second party declared that it
accepts the property the subject matter of sale on its current condition upon
the full inspection.
Article Six
The First Party, Seller, declared
that the buyer has share of the land on which the property is established with
area of 108 m2 (One hundred and eight square meters).
Article Seven
The first party, seller, declared
that the buyer has the right to realize area of 30 m2 of the garage.
Article Eight
The First Party, Seller, declared
that it is responsible in person for any legal or material acts that it may
have dealt with in before or after the execution of this contract, and shall
declare that the property the subject matter of sale is outside these actions,
and these actions, if any, shall not be applicable against him.
Article Nine
The First Party, seller, has
declared that the supporting documents of the second party's ownership are
delivered and that it undertakes to ratify the contract before the official
authority.
Article Ten
The second party, Buyer, has
declared that he shall bear all expenses required for registration of the
contract, and shall declare that it shall cover the property tax to be assessed
in terms of this property as of the date of execution of this contract.
Article Eleven
The parties have declared that the
New Cairo Court is the court of competence to consider any dispute, if any,
that may arise out of this sale.
Article Twelve
This contract was executed in two
copies, one per each party to follow when necessary.
